Anido Terms of Use

The short version

This summary helps you find your way. The full Terms below are what count.

  • Anido helps a family and care team share one place for an elder's medications, visits, documents, notes and shift handovers.
  • Anido is not a doctor, a medical device, an emergency service, a care agency or a pharmacy. It doesn't diagnose, treat or prevent any condition. Always follow the elder's doctor.
  • In an emergency, call your local emergency number. Don't wait for an Anido alert, and don't count on one to reach anyone.
  • Reminders and alerts can be late or not arrive. Phones, networks and settings can block them. Don't rely on Anido alone for a dose or a visit that matters.
  • AI summaries can be wrong. They explain a document in plain words. Check the original, and ask the elder's doctor about anything that worries you.
  • You must be 18 or older. Only add an elder's information if you have their permission or the legal right to do it.
  • Everyone in a care team can see what's in it (an organizer can hide documents from a caregiver), and the activity log is permanent: corrections are added as new entries.
  • You own what you add. We use it only to run Anido for you and your care team. We never use your family's health information for ads. Before we share your information with third parties in any new way, we'll ask you first.
  • Anido is free right now. If we ever add paid plans, nothing will be charged unless you choose a plan.
  • If you live in the US (including Puerto Rico and other US territories), disputes go to individual arbitration unless you opt out within 30 days (section 18.1). If you live in Mexico, Colombia, elsewhere in Latin America, the EU or the UK, you keep your local courts and consumer agencies.

01What is Anido, and what isn't it?

What Anido is

Anido is a care-coordination app for families and the people who help them care for an older relative, whom we call the elder. It works on iPhone, Android and the web.

With Anido, a care team (also called a care circle) can keep track of medications and doses, vitals, visits, documents, notes and shift handovers. Anido can also explain medical documents in plain words with an AI summary (see section 7).

What Anido is not

Anido is not a medical device and does not diagnose, treat, cure or prevent any disease or condition. It does not give medical advice. Always talk to the elder's doctor, nurse or pharmacist about health decisions.

Anido is not an emergency service. It doesn't contact ambulances, police, fire services or doctors for you, and no one at Anido watches the information in your care team.

Anido is not a care agency, an employer or a caregiver marketplace. We don't find, check, hire, train, supervise or pay caregivers (see section 6).

Anido is not a pharmacy. We don't fill, order or deliver medications. "Order refill" only helps you call or open the pharmacy you saved.

Anido also does not connect to medical records systems, offer video visits or connect to wearable devices.

What to do in an emergency

If the elder or anyone else may be in danger, call your local emergency number right away. Don't use Anido first, and don't wait for a team member to answer.

The "Call family" button in elder mode calls family only, not emergency services. It dials the first family contact you set up. If no one answers, Anido sends an urgent alert to the care team. That alert is best effort: it may be late or may not arrive.

The Medical ID screen shows information your care team entered. It may be out of date. Emergency workers should check it with the elder or their doctor when they can.

Emergency numbers

Use the main number first. Where a separate ambulance number exists, it's listed too. If you're traveling, use the number of the country you're in.

02What are you agreeing to?

Who we are

Anido is provided by Orchid Media LLC, a Tennessee limited liability company at 110 Somerville Ave, Chattanooga, TN 37405, USA ("Orchid Media", "we", "us"). "You" means the person using Anido.

How you accept these Terms

These Terms of Use ("Terms") are a contract between you and us. You accept them when you create your account and tick the box to agree, including when you join through an invite.

If you don't agree, please don't use Anido.

Other documents that apply

These Terms work together with:

  • our Privacy Policy, which explains how we handle personal information, including the elder's. It includes Mexico's privacy notice and Colombia's data processing policy;
  • our Consumer Health Data Privacy Policy, for people in US states with consumer health data laws;
  • our Medical disclaimer and our page about AI summaries;
  • any terms we show you for a specific feature, such as a paid plan, if we ever offer one.

Agreeing to these Terms is not consent to process health information. We ask for that separately, each time with its own unticked checkbox: when you sign up, when you add an elder, and before you first invite someone to see the elder's health information. You can also say no to optional features like AI summaries, product analytics and ad measurement.

Where Anido is offered

We offer Anido in the United States and in Spanish-speaking countries of Latin America, including Mexico and Colombia. We don't offer it in Brazil or Cuba at this time, or anywhere US sanctions don't allow it.

People who live in the European Union or the United Kingdom may use Anido only if a care team invites them. We don't market Anido there.

03Who can have an account, and how do you keep it safe?

You must be 18 or older

You must be at least 18, or the age of majority where you live if that's higher. Anido isn't meant for children. The elder doesn't need an account (see elder mode).

How you sign in

You can sign in with Apple, with Google, or with a one-time code we email you. Anido doesn't use passwords or text-message codes.

Give us true information and keep it up to date. Each account is for one person. Don't share it, and don't create an account for someone else.

Keeping your account safe

You're responsible for what happens in your account, so please:

  • keep your phone, email and Apple or Google account secure;
  • turn on "Lock with Face ID" (or your phone's biometric lock) in Settings › Privacy & data;
  • check "Signed-in devices" and sign out of any device you don't recognize.

We will never ask you for your sign-in code. If you think someone else got into your account, tell us right away at info@anidoapp.com.

Elder mode

Elder mode is an optional, simple screen that a family member sets up on a device the elder uses. It shows the next dose, an "I took it" button and a "Call family" button.

Elder mode does not create an account for the elder. The organizer or family member who turns it on is responsible for that device, and agrees to these Terms for its use.

Taps in elder mode are logged in the activity log as the elder's own (for example, "Rosa (self)"). The family chooses whether those taps count as "given" or need a team member to confirm them.

Leaving elder mode needs the family PIN or the phone's biometrics. Please choose a PIN the elder won't guess, and tell the elder what the screen does.

04How do care teams work?

Roles

Every care team has an elder and members. Each member has one role. The organizer chooses roles and can change them.

Everyone you add to a care team can see the elder's information, including health details, notes and who did what and when. Only invite people you trust with that information. See Privacy Policy, section 5.

Inviting people

You invite people with a link or a QR code that you share yourself, using your own apps (for example, your messages or email app). Anido doesn't send texts to anyone.

Each invite link works for one care team and one role, and it expires after 7 days. Treat an invite link like a key. Share it only with the person you mean to invite. If it goes to the wrong person, tell the organizer, who can remove them.

The organizer

The organizer sets up the care team, chooses who joins and what each person can do, and can remove members. A care team always has at least one organizer.

The last organizer can't leave the team or delete their account until they make someone else an organizer, or delete the elder's information.

If the organizer dies or can't act

If a care team's only organizer dies or can no longer act, another member of that team, or the organizer's or the elder's legal representative, can write to privacy@anidoapp.com. We'll ask for reasonable proof, such as a death certificate or a legal document. If we're satisfied, we may make another member the organizer.

When people disagree

Families sometimes disagree. Anido follows the roles and settings in the care team. We don't decide family disputes or take sides.

We will act on a valid court order, and on requests from the elder or the elder's legal representative as described in section 5. Otherwise, the organizer's settings stay in place.

What members do with information

We can't control what members do with information after they see it, for example if they take a screenshot or share an export. Each member is responsible for keeping the elder's information private and using it only to help care for the elder.

05Who may add an elder's information?

The information belongs to the elder's life

The elder's health information is some of the most private information there is. Most elders won't have an Anido account, so the people who add their information must have the right to do so.

What you confirm when you add an elder

When you add an elder, or add information about an elder, you confirm that at least one of these is true:

  • the elder agreed to you keeping their care information in Anido and sharing it with the care team; or
  • you have the legal right to make this decision for the elder. For example, you are their guardian, you hold a power of attorney that covers health matters, or the law where the elder lives recognizes you as their legal representative.

You also confirm that you'll add only information that helps with the elder's care, and that you'll keep it accurate.

When you create the elder's profile, we ask you to confirm this with a separate checkbox, and to agree that Anido can store and process the elder's health information in the United States. We keep a record of that confirmation.

Please tell the elder

We encourage you to tell the elder that their information is in Anido, who can see it, and what it's used for. Our Privacy Policy, section 4 explains this in plain words, and our notice for the elder says it in large type you can show or read to them.

The elder's own rights

The elder, or their legal representative, can contact us at privacy@anidoapp.com. After we check who they are, we can give them access to the elder's information, limit how it's used, or delete it, as privacy law allows. We'll tell the organizer when we do, unless the elder or their representative asks us not to and we believe telling them could put the elder at risk.

These rights are explained in Privacy Policy, section 14 and section 22 for each country.

Other people's information

You may add contact details for the elder's doctors, pharmacy and emergency contacts so the team can call them. Only add what the team needs, and only for people who would reasonably expect it.

When an elder dies

If the elder dies, the organizer can export the care record and then delete the elder's information. If no one does, our inactive-account rules apply (section 14 and Privacy Policy, section 16).

06What if you're a professional caregiver?

Anido isn't your employer or agency

Anido is a tool, not an employer, staffing agency or marketplace. We don't find work for caregivers or caregivers for families. We don't check licenses, references or backgrounds, and we don't supervise, train or pay anyone.

Any work arrangement is between you and the family or agency you work with. That includes pay, schedules, duties, taxes, insurance and professional licensing.

Your entries are a lasting record

Each dose, vital, note and handover you log carries your name and the time. Families can see it, and it can't be erased from the log (see section 9).

This record can protect your work, but it may also be used in a disagreement or a legal dispute. Log what really happened, when it happened. See Privacy Policy, section 18.

Your professional duties still apply

Follow the rules of your profession, including confidentiality. If your job or the law requires you to keep your own clinical records, keep them: Anido is not designed to be a professional record system.

Working with several families

You can belong to several care teams. Keep each family's information separate. Anido shows the elder's name and color on every screen to help you.

If a family removes you, you lose access to that care team. Your past entries stay in its log under your name.

Agencies

Right now, Anido is for individual caregivers working directly with families. We don't offer accounts that let an agency manage staff or clients. If we do later, separate terms will apply.

07How do AI summaries work, and what are their limits?

What they do

When you scan or upload a document, such as lab results, Anido reads the text and can write a short summary in plain words, in the elder's language. Every sentence written by AI carries an "AI summary" label. Notes written by people never do.

What they never do

AI summaries follow strict rules. They copy values exactly as printed and link each flagged result to its place in the original. They only flag what the document itself marks as high, low or critical.

AI summaries never diagnose, never suggest changing a dose or medication, and never predict what will happen. If a document marks a value as critical, the summary shows only a line telling you to call the elder's doctor today (for example, "Call Rosa's doctor today"), with the saved doctor's number. If part of a page can't be read, the summary says so and leaves it out.

You choose whether to use them

The first time you use this feature, we ask for your permission to send document content to our AI service provider. You can choose "Allow AI summaries" or "Not now". You can change this any time in Settings › Privacy & data › "AI summaries".

If you say no, your documents are still saved, but they won't be summarized.

What is sent to the AI provider

We don't attach the elder's profile details to the request. The document itself may show the elder's name or other details printed on it, and that text is sent as part of the document.

Our AI provider may not use your documents to train its models. Anido uses de-identified information to improve its own AI features only if you turn on "Help improve Anido's AI", which is off unless you choose it. See Privacy Policy, section 6.

Their limits

AI summaries can be wrong. Text recognition can misread a number, a unit or a date. A summary can miss something important.

  • Always check flagged results with "View in original".
  • No flag doesn't mean everything is fine.
  • A team member must mark each summary as reviewed. Reviewing means you read it, not that it's medically correct.
  • Ask the elder's doctor about anything in a document that matters to you.

Only upload the elder's documents

Only upload documents about the elder of that care team. Don't upload other people's records.

08What can you expect from reminders and alerts?

Reminders help, but they can fail

Anido sends reminders for doses, visits and refills, and alerts when a dose isn't marked or a visit has no one assigned. Reminders and alerts are best effort. They can be late, or not arrive at all.

That can happen because of your phone's settings, low battery, focus or quiet modes, no internet, an app or operating system update, or a problem with Apple's or Google's notification services. Quiet hours, which each member sets, also hold back routine reminders.

Don't rely on Anido alone for a dose or a visit that matters. Make sure someone is responsible for each one.

Your information drives the reminders

Reminders, "days left" counts and refill alerts are based on what your team entered: schedules, dose amounts and pill counts. If that information is wrong, the reminders will be too. Medication names suggested as you type may be incomplete: always check against the label or with the pharmacist.

The double-dose check

Anido warns you if someone already marked the same dose as given, or gave that medication in the last 2 hours. This check only knows what people logged. It can't catch a dose no one marked, or one logged on a phone that's still offline.

Offline use

You can log doses, vitals and notes without internet. They're saved on your device and sync when you reconnect. Until then, the rest of the team won't see them, and reminders and checks may not reflect them.

What notifications show

We keep notification text short. Lab values and diagnoses never appear on the lock screen. With "Hide details on lock screen" on, notifications show only "Anido reminder", and the daily email only says you have updates. See Privacy Policy, section 10.

09Who owns what you add, and what happens to it?

You own your content

"Your content" means everything you add to Anido: profiles, medications, notes, vitals, photos, documents and messages to us (except ideas or suggestions about Anido, which section 12 covers). You (or the person who gave it to you) keep all rights to it.

The permission you give us

You give us a limited permission to store, copy, process, show and send your content, only to:

  • run Anido for you and your care team, including showing it to the members you or your organizer chose;
  • create AI summaries, if you allowed them;
  • keep Anido secure, back it up and fix problems; and
  • follow the law, as our Privacy Policy explains.

This permission is worldwide, because members and our service providers can be in different countries. It's free of charge, and we can pass it only to service providers who work for us under contract.

We never use your family's health information for ads. Before we share your information with third parties in any new way, we'll ask you first, and we'll only do it if you say yes. You can change your mind later. This is a promise in this contract. See Privacy Policy, section 8.

The permission ends when your content is deleted, except for copies that are part of the care team's log (see below) and backups, which roll off within 35 days.

The activity log is permanent

The activity log keeps a full history: who gave which dose, when, and what changed. Entries can't be edited or erased. A correction or an "Undo" is added as a new entry that points to the original.

We do this so the team can trust the record, catch double doses, and show a doctor what really happened.

We delete or de-identify deleted information within 30 days, and backups roll off within 35 days. AI request records for the elder's documents are deleted with the elder's information, unless we must keep them for a legal claim. We keep a few records for legal and security reasons, such as records of your consents and security logs, only for the periods in Privacy Policy, section 12. Copies that someone already exported are outside Anido. See Privacy Policy, section 15.

Exports leave Anido

Organizers, family and viewers can export a care report as a PDF or CSV, for example for a doctor. Once a file leaves Anido, we can't protect it, change it or delete it. You're responsible for who you share it with.

Every member can also ask for a copy of their own information, as our Privacy Policy explains.

Your responsibility for your content

You're responsible for what you add. Make it accurate, add only what you have the right to add, and fix mistakes with a new entry when you notice them.

We don't check what you add for medical accuracy. We may remove content that breaks these Terms or the law.

10What may you not do with Anido?

Use Anido only to help care for an elder. Don't:

  • add an elder's information without their permission or your legal right to do so;
  • use Anido to watch, control, threaten, harass or take advantage of an elder or anyone else, including to take their money or property;
  • pretend to be someone else, or give false information about who you are or your role;
  • upload anything illegal, or anything you don't have the right to share;
  • add passwords, full payment card numbers or government ID numbers to notes or documents, except where a field asks for it (such as an insurance card);
  • try to see information you're not allowed to see, get around permissions or security, or test our systems for weaknesses without our written permission;
  • copy, scrape or collect data from Anido with bots or other automated tools;
  • copy, change or reverse engineer Anido's code, except where the law gives you that right;
  • upload viruses or harmful code, or overload our systems;
  • rent, lease or license Anido to others, or use it to run a business service for third parties, without a written agreement with us;
  • use Anido if you're a health care provider subject to HIPAA or similar laws and you'd need a business associate or processing agreement to do so. We don't offer those agreements at this time;
  • use Anido in a way that breaks any law.

If you think an elder is being harmed or neglected, call your local emergency number or contact the authority that protects older adults where you live (in the US, adult protective services). You can also tell us at info@anidoapp.com. We may suspend accounts while we look into a report.

11Does Anido cost anything?

Free for now

Anido is free right now. Your phone carrier may charge for data, calls or messages.

If we add paid plans

If we add paid plans later, these rules apply:

  • You'll never be charged unless you choose a plan and agree to pay. We'll tell you at least 30 days before any feature you already use becomes paid.
  • Before you pay, we'll show the total price, including taxes, what you get, how often you'll be charged, and how to cancel.
  • If a plan renews automatically, we'll say so clearly before you buy and ask you to agree to the renewal. We'll also send any renewal reminders the law requires, including under US state automatic-renewal laws.
  • You'll be able to cancel online, as easily as you signed up.
  • If we raise a price, we'll tell you in advance, and you can cancel before the new price applies.

Buying through the App Store or Google Play

If you buy through the App Store or Google Play, Apple or Google handles the payment, renewals and refunds under its own rules. You manage or cancel the plan in your Apple or Google account settings. If you buy on our website, we'll explain how billing works at checkout.

If you live in Mexico

If you live in Mexico, you also have these rights under the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor):

  • we'll notify you at least 5 calendar days before any automatic renewal or recurring charge;
  • you can cancel right away, without obstacles, through the same channel you used to sign up;
  • prices will show the total amount, including taxes; and
  • you can cancel a distance purchase within 5 business days, as the law allows.

If you live in Colombia

If you live in Colombia, the Consumer Statute (Estatuto del Consumidor, Law 1480 of 2011) also gives you these rights:

  • Before you buy, we'll tell you who we are and how to reach us, what the plan includes, the total price with taxes and any other charges, how you can pay, how long the plan lasts and how it renews, and how to cancel or retract. You'll be able to check your order and fix mistakes before you confirm it.
  • After you buy, we'll send you a receipt with a summary of your purchase.
  • Right to retract (derecho de retracto). If you buy a plan online or in the app, you can retract within 5 business days after you buy it. We'll refund everything you paid within 30 calendar days.
  • Exceptions. Colombian law doesn't give this right in some cases, for example a service that already started with your agreement, or digital content that by its nature can't be returned. If an exception applies to a plan, we'll tell you clearly before you pay.
  • Payment reversal. If you pay us directly by card or another electronic method, you can ask your bank or card issuer to reverse the payment in the cases Colombian law allows, like fraud or a charge you didn't ask for. Ask within 5 business days of finding out, and tell us too.
  • If you buy through the App Store or Google Play, Apple or Google handle the payment and refunds, but your rights under Colombian law still apply.

Other countries

If you live elsewhere in Latin America, or in the EU or UK, you keep any right your local law gives you, such as a right to cancel within a set number of days.

12Who owns Anido itself?

Our rights

Anido, including its apps, website, design, text, software and the AI summary features, belongs to Orchid Media or our licensors. These Terms don't give you ownership of any of it.

Your license to use Anido

We give you a personal, limited, non-exclusive, non-transferable license to use Anido to help care for an elder, as these Terms allow. "License" means permission. It ends if these Terms end.

Feedback

If you send us ideas or suggestions, we may use them freely, without paying you. This doesn't cover your content or anyone's health information: those stay protected under these Terms and our Privacy Policy.

Trademarks

"Anido", the anido logo and the nest mark are trademarks of Orchid Media LLC. Don't use them without our written permission.

Open-source software

Anido includes open-source software. Each piece is covered by its own license, which you can find in the app at in the app under Settings › About › Open-source licenses, and at anidoapp.com/open-source. If one of those licenses gives you more rights than these Terms, that license controls for that piece.

Copyright complaints

If you believe something in Anido infringes your copyright, email info@anidoapp.com with the details US copyright law asks for (17 U.S.C. § 512). We'll respond as the law requires.

13What about other companies' services?

Anido works with services from other companies, for example:

  • Sign in with Apple and Google Sign-In, to sign in;
  • Apple's and Google's notification services, to deliver reminders;
  • your phone's dialer, messages and email apps, when you tap "Call", "Message" or share an invite;
  • Apple Maps or Google Maps, which receive a visit's address when you open it;
  • the App Store and Google Play, to download Anido.

Those companies' own terms and privacy policies apply when you use their services. We're not responsible for how they work. Calls and messages go through your carrier, not Anido.

We also use service providers to run Anido, such as hosting, email and AI. We list them on our subprocessors page. They work for us under contract and may use your information only to provide their service to us.

We don't check the doctors, pharmacies or other contacts you save. Their details are only as good as what your team entered.

14How can you or we end this agreement?

You can leave any time

You can stop using Anido whenever you want. To delete your account, go to Settings › Privacy & data › "Delete my account", or use our account deletion page. If you're the last organizer, you'll first need to make someone else an organizer, or delete the elder's information.

We delete or de-identify your account information within 30 days, and backups roll off within 35 days, as section 9 explains.

When we may suspend or close an account

We may suspend or close your account, or remove you from a care team, if:

  • you seriously or repeatedly break these Terms;
  • we reasonably believe you put an elder or others at risk, or used information you weren't allowed to use;
  • the law or a valid legal order requires it; or
  • we stop offering Anido.

When it's safe and legal, we'll tell you first, explain why, and give you a chance to respond. When we can, we'll keep the rest of the care team's access working, so the elder's care isn't disrupted.

If we stop offering Anido

If we decide to stop offering Anido, we'll give you at least 30 days' notice so you can export your care reports and your information, unless something outside our control makes that impossible.

Inactive accounts

If you don't sign in for 24 months, we'll send you a notice. If you still don't sign in, we'll delete the account at 27 months. See Privacy Policy, section 12.

What continues after the end

Sections that by their nature should continue, such as 5 (the elder's rights), 9 (the log and exports), 12, 15 to 18, and 20 to 23, keep applying after this agreement ends.

15What don't we promise?

This section limits our promises as far as the law allows. It doesn't take away rights that your local consumer law says can't be taken away, and it doesn't limit the promises we make in these Terms and our Privacy Policy.

We provide Anido "as is" and "as available". Except where the law doesn't allow it, we don't give any promise or warranty that isn't written in these Terms.

That includes promises the law might otherwise assume: that Anido is fit for ordinary use or for a particular purpose, and that it doesn't infringe anyone's rights. Lawyers call these warranties of merchantability, fitness for a particular purpose and non-infringement.

In particular, we don't promise that:

  • Anido will work without interruptions, delays or errors, or that data will never be lost;
  • any reminder, alert or urgent alert will be delivered or delivered on time;
  • an AI summary will be complete or correct;
  • information that care team members or caregivers enter is accurate, complete or up to date; or
  • Anido will fit your family's or the elder's particular needs.

Nothing in Anido is medical advice. Health decisions belong to the elder, their family or representative, and their doctors.

Some US states don't allow certain warranties to be excluded, so some of these exclusions may not apply to you. If you live in Mexico, elsewhere in Latin America, or in the EU or UK, the guarantees your local law gives you still apply.

16What are the limits on our responsibility?

What we never limit

Nothing in these Terms limits or excludes our responsibility for:

  • death or personal injury caused by our negligence;
  • our gross negligence, willful misconduct or fraud; or
  • anything else the law where you live doesn't allow us to limit, including your mandatory consumer rights.

If you live in the United States

As far as the law allows:

  • We're not responsible for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they might happen.
  • Our total responsibility for all claims about Anido or these Terms is limited to the greater of (a) the amount you paid us for Anido in the 12 months before the event that led to the claim, or (b) US$100.

These limits apply whatever the legal theory, such as contract, warranty or tort. They're part of what lets us offer Anido free of charge. They don't apply to the items listed under What we never limit.

If you live in Mexico, Colombia or elsewhere in Latin America

We're responsible to you as your country's consumer and civil law provides. That includes damages that are a direct and immediate result of our failure to meet these Terms.

We're not responsible for harm we didn't cause, such as harm caused by what other members entered or did, or by services outside our control, to the extent your local law allows. No limit in this section applies if your law doesn't allow it, and you don't give up any right under the Ley Federal de Protección al Consumidor, Colombia's Estatuto del Consumidor (Law 1480 of 2011) or your country's consumer law.

If you live in the European Union or the United Kingdom

We're responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. Loss is foreseeable if it was obvious it would happen, or if both of us knew it might happen when you started using Anido.

We're not responsible for loss that wasn't foreseeable. Anido is for personal and family use, so we're not responsible for business losses. Your legal rights as a consumer, including rights about digital content and services, are not affected.

17When are you responsible for claims against us?

If you live in the United States

Someone may make a claim against us because you broke these Terms, added information you had no right to add, or misused Anido. If that happens, you agree to cover our reasonable costs of that claim, including reasonable lawyers' fees. This is called an "indemnity".

This applies only to the extent you caused the claim. It doesn't apply to claims caused by our own fault. We'll tell you about the claim promptly and let you help with the defense.

If you live anywhere else

If you live in Mexico, Colombia, elsewhere in Latin America, or in the EU or UK, you're responsible for harm you cause only as your local law provides.

18How do we resolve disputes?

Talk to us first

Most problems can be fixed quickly. Before starting any formal claim, email info@anidoapp.com with the subject line "Dispute". Tell us your name, the email you use for Anido, what happened and what you'd like us to do.

We'll both try in good faith to settle it within 60 days. This step doesn't stop you from contacting a consumer protection agency at any time. If you live outside the United States, this step is optional, and it doesn't stop you from going to court.

Which law applies

These Terms are governed by the laws of the State of Tennessee, USA, and, for the arbitration agreement in section 18.1, the US Federal Arbitration Act. You still keep every protection that the law where you live gives you and that can't be waived by contract.

"Where you live" means your country (and, in the US, your state) of residence when the dispute begins.

18.1 United States: arbitration and class-action waiver

Please read this section carefully. If you live in the United States, it means you and we will resolve most disputes by individual arbitration, not in court, and not as part of a class action. You can opt out within 30 days, as explained below.

In this section, "the United States" includes Puerto Rico and other US territories.

What arbitration means

In arbitration, a neutral person called an arbitrator decides the dispute instead of a judge or jury. It's usually faster and less formal. The arbitrator can give you the same individual relief a court could.

What's covered

You and we agree to resolve any dispute, claim or disagreement about Anido or these Terms ("dispute") by final and binding individual arbitration, except for the matters listed under What's not covered.

The arbitrator decides whether this arbitration agreement covers a dispute and whether it can be enforced. But a court decides questions about the class-action waiver, the mass-arbitration rules in this section and the opt-out.

What's not covered

Either of us may instead:

  • bring an individual claim in small claims court in the county where you live or in Hamilton County, Tennessee, if it qualifies;
  • ask a court to stop someone from infringing or misusing intellectual property or breaking into our systems; and
  • bring a claim in court if federal or state law says it can't be required to go to arbitration (for example, certain sexual-harassment or sexual-assault claims).

If you live in California and ask for public injunctive relief (an order that benefits the general public), that request goes to court after the arbitration of your individual claims ends.

How it works

  • Provider and rules. the American Arbitration Association (AAA) runs the arbitration under its consumer arbitration rules in effect at the time. If these Terms conflict with those rules, these Terms control. You can find the rules on the provider's website.
  • Starting a claim. After the informal step above, either of us may start an arbitration under the provider's rules.
  • Location. The legal seat of the arbitration is Hamilton County, Tennessee. But you won't have to travel: hearings happen by video or phone, by written submissions, or in person in the county where you live, as you choose.
  • Costs. If you start the arbitration, you'll pay no more than the filing fee you'd pay to start a case in court, or the provider's consumer filing fee if that's lower. We pay all other provider and arbitrator fees. We won't ask you to pay our lawyers' fees unless the arbitrator finds your claim was frivolous or brought for an improper purpose.
  • Decision. The arbitrator applies the law and can award any individual relief a court could. A court with jurisdiction can enter the decision as a judgment.

No class actions and no jury

You and we may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not combine more than one person's claims, except as the mass-arbitration rules below allow, and may not award relief to anyone but the individual parties.

You and we both give up the right to a jury trial for disputes covered by this section.

If a court decides that this class-action waiver can't be enforced for a particular claim or request for relief, then that claim or request (and only that one) will go to court, under the court rules below. It will wait until the individual arbitration is finished. It will never go to class arbitration.

Mass arbitration

If 25 or more similar claims are brought against us, or by us, by the same or coordinated lawyers or organizations, these extra rules apply, along with any mass-arbitration rules of the American Arbitration Association (AAA):

  1. Each claim must be individual. Each person must first complete the "talk to us first" step individually, with a notice that includes their own details and is signed by them.
  2. Test cases first. The lawyers for the claimants and we each choose 10 claims (20 total) to go first, each before a different arbitrator. The other claims wait, and no fees are owed on them yet.
  3. Mediation. After the first 20 decisions, we'll both take part in good-faith mediation for at least 60 days to try to settle the remaining claims, with the mediator's fees paid by us.
  4. Batches. If claims remain, they go forward in batches of up to 100 claims each, one arbitrator per batch. Each claim in a batch still gets its own individual decision.
  5. Time limits pause. While a claim waits under these rules, the time limit for bringing it is paused.

A court can enforce these rules. If a court decides that any part of them can't be enforced for a claim, that claim goes forward in individual arbitration without that part.

How to opt out of arbitration

You can opt out of this arbitration agreement within 30 days after the day you first accept these Terms. Opting out doesn't affect anything else in these Terms or how we treat you.

To opt out, email info@anidoapp.com with the subject line "Arbitration opt-out". Include:

  1. your full name;
  2. the email address you use for Anido (or the Apple or Google account email you sign in with);
  3. the state where you live; and
  4. this sentence: "I opt out of the arbitration agreement in the Anido Terms of Use."

You can also mail the same information to Orchid Media LLC, Attn: Arbitration Opt-out, 110 Somerville Ave, Chattanooga, TN 37405, USA, postmarked within the 30 days. We'll confirm we received your opt-out by email. Each person must opt out for themselves, though a lawyer or legal representative may send it for one named person.

If you opt out, disputes go to court under the court rules below.

If we change this section

If we make a material change to this arbitration section, you can reject the change by emailing us as described above within 30 days after the change takes effect. If you do, the last version you accepted keeps applying to you.

Courts for disputes not in arbitration

If a dispute goes to court instead of arbitration, it will be heard only in the state courts in Hamilton County, Tennessee, or in the United States District Court for the Eastern District of Tennessee. You and we agree to those courts' jurisdiction.

This doesn't apply to small claims cases you bring where you live, or where your state's law gives you the right to sue in your home county.

If part of this section isn't valid

Apart from the class-action waiver (covered above), if any part of this arbitration section is found invalid, the rest still applies.

18.2 Mexico, Colombia and the rest of Latin America

If you live in Mexico, Colombia or another Latin American country, section 18.1 does not apply to you. That means no arbitration requirement and no class-action waiver. You don't give up any right to join a collective action that your country's law allows.

If you live in Mexico:

  • In the administrative route, the Federal Consumer Protection Agency (Procuraduría Federal del Consumidor, PROFECO) is competent to hear any dispute about how these Terms are read or carried out. You can file a complaint with PROFECO, including online through Concilianet.
  • In the courts, you can go to the competent courts under the law, including those of your domicile.
  • Nothing in these Terms means you give up rights under the Ley Federal de Protección al Consumidor. That law is a matter of public order, and any clause that goes against it has no effect for you.
  • The Spanish version of these Terms prevails for you (see section 21).

If you live in Colombia

  • Nothing in these Terms means you give up rights under the Estatuto del Consumidor (Law 1480 of 2011). Those rights can't be waived. Any clause that goes against them, or that limits our duties to you in a way that law doesn't allow, has no effect for you.
  • The Superintendence of Industry and Commerce (SIC) is the consumer authority. You can file a complaint with it. The SIC can also decide your consumer claim like a judge would (a consumer protection action), or you can go to the competent courts, including those of your domicile.
  • Talking to us first is optional (Talk to us first). If Colombian law asks you to make a direct claim to us before going to the SIC or a judge, your email to info@anidoapp.com counts as that claim.
  • For your personal data, the rules and the SIC complaint route are in our data processing policy for Colombia.
  • The Spanish version of these Terms prevails for you (see section 21).

If you live in another Latin American country, you can go to your country's consumer agency or the competent courts, including those where you live. For example:

Tennessee law applies only where it doesn't reduce the protection your own country's law gives you.

18.3 European Union and United Kingdom

If you live in the EU or the UK, section 18.1 does not apply to you. You keep the protection of the mandatory laws of your country, and you can bring a claim in the courts where you live.

If you live in the UK, you can bring a claim in the courts of England and Wales, Scotland or Northern Ireland, depending on where you live.

19How will we tell you about changes?

We may update these Terms when Anido changes or the law changes.

  • For material changes, we'll give you at least 30 days' notice in the app and by email before they take effect, and explain what's changing.
  • Where the law requires it, including in Mexico, we'll ask you to accept the new Terms. If you don't accept, you can export your information and close your account with no penalty.
  • We may make changes sooner if the law requires it, or to fix a security or safety problem. We'll tell you as soon as we can.
  • Changes don't apply to a dispute you already told us about.

20What extra terms apply to the App Store and Google Play?

20.1 If you got Anido from Apple's App Store

These extra terms apply to your use of the Anido iOS app, and they control if they conflict with the rest of these Terms:

  1. Acknowledgement. These Terms are between you and Orchid Media LLC only, not Apple Inc. ("Apple"). Orchid Media, not Apple, is solely responsible for the app and its content.
  2. Scope of license. Your license to use the app is limited to a non-transferable license to use it on any Apple-branded products that you own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions. Other accounts linked to the purchaser may use it through Family Sharing or volume purchasing, where those rules allow.
  3. Maintenance and support. Orchid Media alone is responsible for providing maintenance and support for the app, as described in these Terms or as the law requires. Apple has no obligation to provide any maintenance or support for the app.
  4. Warranty. Orchid Media is responsible for any product warranties, whether express or implied by law, to the extent they're not effectively disclaimed. If the app fails to meet a warranty that applies, you may notify Apple, and Apple will refund the purchase price you paid for the app, if any. To the maximum extent the law allows, Apple has no other warranty obligation of any kind about the app. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to meet a warranty are Orchid Media's responsibility.
  5. Product claims. Orchid Media, not Apple, is responsible for addressing any claims by you or a third party about the app or your possession and use of it, including: (a) product liability claims; (b) any claim that the app fails to meet any legal or regulatory requirement; and (c) claims under consumer protection, privacy or similar laws, including in connection with the app's use of the HealthKit and HomeKit frameworks, where applicable.
  6. Intellectual property rights. If anyone claims that the app or your possession and use of it infringes their intellectual property rights, Orchid Media, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
  7. Legal compliance. You confirm that (a) you are not located in a country that is subject to a US Government embargo, or that the US Government has designated as a "terrorist supporting" country; and (b) you are not listed on any US Government list of prohibited or restricted parties.
  8. Developer name and address. Questions, complaints or claims about the app go to: Orchid Media LLC, 110 Somerville Ave, Chattanooga, TN 37405, USA. Email: info@anidoapp.com.
  9. Third-party terms. You must comply with any third-party terms that apply when you use the app, for example your wireless data service agreement.
  10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

20.2 If you got Anido from Google Play

  1. These Terms are between you and Orchid Media LLC only, not Google LLC or its affiliates ("Google"). Google is not responsible for the app or its content.
  2. Your use of the app must also follow the Google Play Terms of Service. If these Terms conflict with those terms on how you get the app from Google Play, Google Play's terms control for that point.
  3. Google has no obligation to provide maintenance or support for the app. Orchid Media is responsible for support, at info@anidoapp.com.
  4. Refunds for anything bought through Google Play follow Google Play's refund policies.
  5. Orchid Media, not Google, is responsible for any claims about the app, including product liability, legal compliance, consumer protection and intellectual property claims.

21Which language version counts?

These Terms are available in English and in Spanish (Términos de uso de Anido). Both versions are binding.

If you live in a Spanish-speaking country in Latin America, including Mexico and Colombia, and the two versions differ, the Spanish version prevails. For everyone else, including people in Puerto Rico and other US territories, the English version prevails if they differ.

22Other legal terms

Entire agreement

These Terms, together with the documents listed in section 2, are the whole agreement between you and us about Anido.

If part of these Terms isn't valid

If a court or arbitrator finds part of these Terms invalid, that part is changed only as much as needed to make it valid, and the rest still applies. Section 18.1 has its own rules about this.

No waiver

If we don't enforce part of these Terms right away, we can still enforce it later.

Transferring this agreement

You can't transfer these Terms to someone else. We may transfer them to a company that takes over Anido, for example in a merger or acquisition. If we do, we'll tell you, and your rights under these Terms and our Privacy Policy won't be reduced.

Our relationship

These Terms don't create a partnership, employment, agency or joint venture between you and us, or between Anido and any caregiver.

Events outside our control

We're not responsible for a delay or failure caused by events outside our reasonable control. Examples are natural disasters, wide power or internet outages, war, or failures of Apple's or Google's services. We'll tell you about a major problem and work to fix it as quickly as we reasonably can.

This doesn't excuse us from things within our control. In particular, it doesn't excuse:

  • failing to keep your information secure, or to follow our Privacy Policy;
  • failures of the safety features we build and run, such as care-team permissions, the double-dose check, lock-screen privacy and the AI summary rules, when we could reasonably have prevented the failure;
  • failing to tell you about a security incident or an outage as the law or these Terms require; or
  • any refund we owe you.

Notices

We'll send you notices by email to the address on your account or in the app. You agree that these electronic notices count as written notices. Send notices to us at the contact details in section 23.

Sanctions and export rules

You may not use Anido if you're located in a country under a comprehensive US embargo, or if you're on a US government list of restricted parties. Don't use or export Anido in a way that breaks US or other applicable export or sanctions laws.

Who can enforce these Terms

Only you, Orchid Media and, as section 20.1 explains, Apple can enforce these Terms. This doesn't limit the rights the elder or anyone else has under privacy law or our Privacy Policy.

For California residents

Under California Civil Code section 1789.3, California residents can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
